7. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, assessments, tools, and software, are owned by HIPAA Ready Check, InventiveHQ, or our licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

8. Confidentiality

We understand that information you provide during assessments may be sensitive. We commit to maintaining the confidentiality of your assessment data in accordance with our Privacy Policy. However, we are not a covered entity under HIPAA and the information you provide through our assessment tools should not include actual Protected Health Information (PHI).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM

10. Indemnification

You agree to indemnify and hold harmless HIPAA Ready Check, InventiveHQ, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Diego County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
